b'En el presente trabajo se aborda con car\xe1cter general la protecci\xf3n al inversor en el mercado de capitales desde el prisma de la regulaci\xf3n comunitaria y estadounidense y, de manera especial en el programa de notas a medio plazo, incidiendo en una primera aproximaci\xf3n en la asimetr\xeda informativa existente en el mercado financiero entre el inversor, sobre todo el minorista, y el emisor, incrementada notablemente durante el reciente episodio de crisis financiera.Asimismo, se ha desarrollado la estructura del citado programa de notas fase de establecimiento del programa y fase de emisi\xf3n-, al igual que se han dedicado varios ep\xedgrafes a los diferentes documentos que lo componen, con especial \xe9nfasis en el folleto de base, y en aquellos t\xe9rminos y condiciones relativos a los valores (notas) que otorgan una protecci\xf3n relevante al inversor. Adicionalmente, para garantizar la eficacia de las normas informativas que presiden el contenido del folleto de base, se desarrolla el sistema de responsabilidad del emisor o persona responsable de la elaboraci\xf3n del folleto. Por otro lado, se presenta una revisi\xf3n sint\xe9tica del Reglamento (UE) 2017/1129, sobre el folleto que debe publicarse en caso de oferta p\xfablica o admisi\xf3n a cotizaci\xf3n de valores en un mercado regulado y por el que se deroga la Directiva 2003/71/CE, estableciendo un estudio comparativo con la regulaci\xf3n vigente.De manera an\xe1loga, teniendo en cuenta la importancia financiera y extra financiera de la inversi\xf3n sostenible, se realiza un examen del r\xe9gimen aplicable a las emisiones de valores bajo el programa de notas dirigidas a financiar inversiones de car\xe1cter medioambiental y social, prestando especial atenci\xf3n a aquellos aspectos que podr\xedan mejorar la situaci\xf3n normativa actual de los Green Bonds ySocial Bonds.Finalmente, se entrever\xe1n a lo largo del texto diferentes apartados relacionados con la nueva tecnolog\xeda blockchain, en la medida que la misma imprime de manera positiva un giro copernicano en la actual operativa sobre emisiones de valores, dot\xe1ndola de mayor operatividad, seguridad y agilidad en su funcionamiento, conjuntamente con un ahorro significativo de costes, y mayor transparencia, lo que redundar\xe1 en beneficio de todos los intervinientes en este sistema, incluyendo al inversor.CARMEN PILE\xd1O MART\xcdNEZ.Doctora en Derecho. Jefe de Cumplimiento Normativo (ICO).This paper provides a general approach to investor protection in the capital market, from the perspective of EU and U.S. regulation, and, especially, in the medium-term note programme, focusing on a preliminary analysis of the information asymmetry existing in the financial market between the investor, especially the retailer, and the issuer, which increased notably during the recent financial crisis. Furthermore, it discusses the structure of the aforementioned note programme (the programme establishment phase and the issuance phase), and several sections are dedicated to the different documents that comprise the programme, with special emphasis on the base prospectus and on the terms and conditions related to the securities (notes) that provide the investor with relevant protection. Moreover, to ensure the effectiveness of the information regulations that govern the content of the base prospectus, we develop the liability system for the issuer or person responsible for drafting the prospectus.Additionally, we offer a summary of Regulation (EU) 2017/1129, on the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market, and repealing Directive 2003/71/EC, establishing a comparative study with current regulations. Similarly, taking into account the financial and extra-financial importance of sustainable investment, the regime applicable to the issues of securities under the note programme aimed at funding environmental and social investments is examined, paying special attention to those aspects that could improve the current regulatory situation of Green Bonds and Social Bonds. Finally, the text contains various sections related to the new blockchain technology, to the extent that it positively stamps a Copernican twist on current securities issuance transactions, providing them with greater operability, security and agility in their operation, together with significant cost savings and greater transparency, which will benefit all those involved in this system, including the investor.'
